TERMS OF USE OF THE CUATRECASAS PORTAL "WALLET”

1. INTRODUCTION

Cuatrecasas S.L.P. is a Spanish trading company with registered office at Diagonal, 191 - 08018 Barcelona, holder of tax identification/VAT number ESB59942110 and registered in the commercial registry of Madrid, volume 40,693, page 168, sheet B-23.850, contact email address: wallet@cuatrecasas.com.

Cuatrecasas is the holder or licensee of all the intellectual property rights and other rights to the Cuatrecasas portal (the “Portal”).

These terms of use (“Terms of Use”) regulate Cuatrecasas clients’ (“Users” or “Clients”) access and use of the Portal and will be supplemented with any other legal texts regulating any functionality, service, process, application, platform, or means required to use the Portal, or related to it.

Before using the Portal, Users must accept the Terms of Use, which will be available at all times on the homepage for consultation and review.

2. PURPOSE

The Portal is a website where Users can find information on the state of the matter being resolved by Cuatrecasas. Users may also provide their email address to receive automatic updates.

Cuatrecasas reserves the right to change, expand, or reduce the information offered through the Portal at any time, notifying Users.

To this end, Cuatrecasas grants Users a non-exclusive, non-licensable, non-transferable license to use the Portal and its functionalities and content, subject to the other terms in these Terms of Use.

3. INTELLECTUAL AND INDUSTRIAL PROPERTY

All intellectual and industrial property rights to the Portal (including information, texts, data, images, graphics, designs, multimedia content, source code, software, trademarks, distinguishing signs, navigation structures, databases, and any other content) belong to Cuatrecasas and/or its licensors. The User must not use, reproduce, transfer, transform, disseminate, disclose, publish, process, distribute or exploit the Portal or any of its content, except as strictly necessary to use the services offered through the Portal..

Users must not decompile, disassemble or reverse-engineer the Portal when using it. Furthermore, the User must not delete, change, circumvent, or manipulate protection devices or security systems installed in the Portal.

The User acknowledges and agrees that using the Portal does not imply the transfer of any intellectual and industrial property rights, such as copyright, trademarks, designs, or other rights, over the Portal; and does not grant permission to create developments derived from the Portal, except for the limited license granted to Users to use the Portal under the conditions established in these terms.

Users grant Cuatrecasas a non-exclusive, unlimited, entire, transferable, free, and sub-licensable right over any non-personal data, particularly technical data, or data from which personal references have been removed (anonymized data).

4. POLICY ON CHANGES TO THE TERMS OF USE

Cuatrecasas reserves the right to change or update these Terms of Use at any time. The User will be informed, within a reasonable time, of any changes to the Terms of Use of the Portal. The User will find the current version of the Terms of Use in the Portal.

Cuatrecasas reserves the right to expand, reduce, or change the Portal's services at any time. To use the Portal, the User must accept the Terms of Use in force at any given time.

5. MISUSE

The User agrees to not misuse the Portal, and to not distribute information through it or use it for the following purposes:

For activities contrary to the law in force, to these Terms of Use, to morality, best practices and public order, or activities carried out for illicit, prohibited or harmful purposes against the rights and interests of Cuatrecasas or any third parties. Particularly, copyrights, names and registered trademarks, as well as privacy rights.
To use the Portal or part of it on other private or commercial websites, or to use it for commercial purposes; or to create hyperlinks to the Portal or to any of its content (without the prior written consent of Cuatrecasas.
To change, copy, modify, decompile, disassemble, reverse-engineer, grant licenses, lease, sell, or imitate the Portal or its content.
To transmit a virus or any other harmful component that could limit, interfere with or cause harm to the Portal or any connected network, or that could interfere with other Users’ use and enjoyment of the Portal.
To disclose, retrieve, reuse, forward or use in any way, whether in whole or in part, on any media or support, any part of the Portal that belongs to Cuatrecasas without its explicit written consent.

If a User breaches these Terms of Use, third-party rights, applicable law or, particularly, the provisions specified in this clause, Cuatrecasas reserves the right to block that User’s access to certain services of the Portal. Cuatrecasas will retain all the other rights it is entitled to against the User, especially those related to the initiation of civil or criminal proceedings.

6. NOTICE OF POTENTIAL INFRINGEMENTS

Cuatrecasas respects third-party rights and the applicable law. Users of the Portal are also obliged to do so. It is strictly forbidden to access the Portal for illicit or harmful purposes that may directly or indirectly affect Cuatrecasas or third parties.

If a User observes that the Portal is being used improperly or for purposes contrary to applicable law, that User must notify Cuatrecasas immediately at the following email address: […].

7. SERVICE AND WARRANTY DISCLAIMER

Cuatrecasas will make every reasonable effort to ensure the proper functioning of the Portal. However, Cuatrecasas cannot guarantee the absence of service interruptions to carry out maintenance and repair work on the Portal; of network failure or malfunctions in equipment; or of failure of the networks required for data transmission that are outside its control. Cuatrecasas will take the appropriate measures to minimize these interruptions.

Although Cuatrecasas will make every reasonable effort to ensure that the information on the Portal is precise, correct and up to date, this information is only indicative and, therefore, its sole purpose is to provide general guidance, not detailed or specific information on the products and services that appear on the Portal. Thus, this information is subject to change and should not be construed as a firm offer, promotion or marketing of products and services related to Cuatrecasas.

8. LIABILITY

The User agrees, on accessing this Portal, to use it according to the law and will be liable to Cuatrecasas and third parties for any harm and loss caused in the event of breach of this obligation. Cuatrecasas is not liable for any damage or alteration to the User’s equipment or devices resulting from using or accessing the Portal.

The User is fully liable for any data and content transferred or communicated to Cuatrecasas.

Cuatrecasas is not liable for security errors or damage to the User’s device (hardware and software), or damage to the files or documents installed in it, deriving from (i) a virus in the device the User uses to access the Portal's services and content, (ii) the malfunction of the internet, (iii) telephone network failure, (iv) interference, (v) omission, or (vi) disconnection in the operation of the Portal, due to causes beyond Cuatrecasas's control.

The services offered on the Portal may cause data consumption. Cuatrecasas is not liable for any costs the User may bear deriving from the communication and submission of data, or the internet connection (contact your operator for more details).

The Portal may provide links to other websites (including social media) and include information and services obtained from third parties, the purpose of which is to facilitate Users’ access to information on collaborating and sponsoring companies. Cuatrecasas is not liable for their content or operation, or for transfers made by these third parties. Cuatrecasas offers Users these links, information and services only for the User’s benefit, and the User is responsible for reading and accepting the terms of use and privacy policies published on the websites or related applications.

Cuatrecasas cannot control the information, content, products or services provided by third parties that have established links to the Portal. Consequently, Cuatrecasas will not take on any liability deriving from Users’ use of third parties’ functionalities, technologies, services or platforms. The User agrees to hold Cuatrecasas harmless against any liability or payment of indemnity for damages arising from infringements or incidents related to using third parties’ functionalities, technologies, services or platforms, despite being available on the Portal.

Cuatrecasas does not guarantee under any circumstances that the Users will use the Portal fulfilling these Terms of Use or acting according to the law in force, morality, best practices, and the requirements of good faith and public order, or that they will use it in a diligent and prudent manner. Therefore, Cuatrecasas is not liable for Users’ use of the content of the Portal that might entail a breach of any national or international regulations, intellectual or industrial property rights, or any other third-party rights.

9. DATA PROTECTION

Cuatrecasas will protect Users' personal data and will only use it to the extent permitted by law or with Users’ consent. Users can find more information on this in the Portal’s Privacy Policy.

11. SEVERABILITY AND INTEGRATION OF CLAUSES

The illegality, invalidity or nullity of any clause in this Terms of Use will not affect the validity of its other provisions, provided the Parties’ rights and obligations arising from it are not significantly affected. “Significantly” is understood to mean any situation that seriously harms the interests of either party or affects the purpose of these Terms of Use. These clauses must be replaced with or integrated into others that are in line with the law and fulfill the purpose of the replaced clauses.

12. FINAL PROVISIONS, APPLICABLE LEGISLATION AND JURISDICTION

These Terms of Use are governed by Spanish common law (legislación española común). If the User acts as consumer, these Terms of Use will also be subject to applicable local law.

Any dispute arising from using the Portal or from these Conditions of Use will be submitted to the jurisdiction of the courts of the city of Barcelona (Spain), and if it involves a User acting as consumer, to the courts of the User’s/consumer’s place of residence.

Any User acting as consumer can also submit any dispute arising from or related to these Terms of Use to an alternative dispute resolution (“ADR”) procedure.
